AFFILIATE TERMS AND CONDITIONS

1. Definition of the Parties

This Agreement describes the terms and conditions of use of the Affiliate Program stipulated between the winery il Vino e le Rose SSA (VAT number 02534840067), hereinafter referred to as “Ilvinoelerose.it” and the user signing this Agreement, hereinafter referred to as the “Affiliate”. The “Ilvinoelerose.it” Affiliate Program is a commercial collaboration agreement through which “Ilvinoelerose.it” pays the Affiliates a commission on the sales of the products on the site https://www.ilvinoelerose.it under the conditions set out below. To join the
Affiliate Program of “Ilvinoelerose.it” the explicit acceptance of all the terms of this Agreement is required.

2. Mode of Membership

To join the Affiliate Program of “Ilvinoelerose.it”, it is necessary to fill in the appropriate registration form on the internet address: https://www.ilvinoelerose.it/new/my-account/work-with-us/

The agreement is stipulated free of charge and each of the parties can terminate it at any time and without notice, by written communication, to be sent by e-mail. To register you must be of legal age. “Ilvinoelerose.it” reserves the right to evaluate each membership request and not to accept it at its sole discretion.
In particular, requests relating to: – sites with pornographic content – sites that violate copyrights – sites with racist content – sites that incite violence – sites that promote illegal activities – sites that violate moral, religious and intellectual freedom will not be accepted of each individual.

3. Obligations of the Affiliate

The Affiliate cannot modify the code of the links or banners taken from the control panel. The Affiliate has no right or title to the trademarks owned by “Ilvinoelerose.it” and the “oasi di mastarone” trademark. The Affiliate undertakes not to disclose via spamming, or the sending of commercial information by means of unauthorized emails, the connection link to the site www.ilvinoelerose.it, under penalty of immediate termination of this agreement. In the event that illegal sending of unauthorized emails is detected, the Affiliate will be held
responsible for any damage caused to “Ilvinoelerose.it” by his inappropriate behavior.

4. Obligations of “Ilvinoelerose.it”

“Ilvinoelerose.it” undertakes to:
– provide the Affiliate with any type of information on the services it promotes and on the functioning of the Affiliate Program;
– provide the Affiliate with a control panel to view orders, commissions and statistics;
– keep the Affiliate’s control panel updated with any commissions due and orders processed;
– pay the Affiliate the commissions on the orders processed, calculated according to the agreed terms; – provide the navigator coming from the Affiliate’s link with any type of information and support
on the services on sale on the site https://www.ilvinoelerose.it

5. Operating Modes

To participate in the Affiliate Program, it is necessary to make use of the Affiliate Link, which the Affiliate can download in the Affiliate Control Panel. The choice of the marketing tool to use is at the complete discretion of the Affiliate.

Affiliates receive 5% compensation from purchases made by their referrals.

6. Commission Recognition Rules

“Ilvinoelerose.it” pays the Affiliate a 5% commission (net of VAT) on each sale made through its affiliate link

The percentage refers to the net total spent by the referent excluding VAT and shipping costs. The commissions will be calculated on the orders processed during the period of validity of this agreement. For processed orders we mean those orders regularly paid by the customer and not canceled within 60 days of payment for the service. The Affiliate Program of “Ilvinoelerose.it” is based on the system of cookies with a duration of 30 days. To be entitled to the commission, the customer must arrive on the site www.ilvinoelerose.it through the Affiliate’s affiliation link and
make a purchase within 30 days. No commissions are recognized for purchase orders made out to the Affiliate or to persons/companies attributable to the Affiliate himself.

7. Product List

The sale price of the products and, therefore, the relative commissions, are subject to possible variations, determined by “Ilvinoelerose.it” according to its commercial policies.

8. Terms of Payment

“Ilvinoelerose.it” pays commissions in the following ways:
– Quarterly payments for amounts of a minimum of €250
– Single annual payment for lower amounts
– During the “Beta” phase payments will be decided in agreement with the affiliate, with a minimum of €50

“Ilvinoelerose.it” undertakes to keep the accrued commissions on behalf of the Affiliate until the aforementioned payable balance is reached. Interest will not be applicable on the amounts accumulated and not yet paid. In order to receive payment, the Affiliate undertakes to issue an invoice or equivalent document for the amount paid by “Ilvinoelerose.it” within 30 days of the request by “Ilvinoelerose.it”.
If you have a VAT number, you must make an invoice. If you don’t have a VAT number, you can make a receipt with your tax code for “brokerage services”. In any case, the fiscal document must be made out to an adult person.

It is not necessary to open a VAT number as long as your revenues are less than 5,000 euros per year. You will make us a receipt for “intermediation service” for the sum we will pay you, using your tax code. Everything is classified as occasional work and a withholding tax will be applied as an IRPEF advance.

The withholding tax is 20% commensurate with the amount of the commissions.

Commission payments will be made by bank transfer or Paypal to the current account indicated by the Affiliate in the Affiliate Area.

9. Duration of the Contract

This Agreement begins on the date of registration of the Affiliate and is valid until terminated by one of the two parties. However, it is understood that this agreement can be revoked at any time
by either party by written communication, to be sent by e-mail.

10. Limitation of Liability

“Ilvinoelerose.it” undertakes to keep its website active and perfectly functional, except in cases of force majeure or interruptions due to maintenance interventions. In any case, “Ilvinoelerose.it” cannot be held responsible for such interruptions and the consequences deriving from them. No compensation will be granted in case of malfunctions or loss of data.
The service is offered without any guarantee. Under no circumstances will “Ilvinoelerose.it” be held responsible for the illicit conduct of the Affiliate. Furthermore, “Ilvinoelerose.it” is in no way responsible for the content of the sites of its Affiliates.

11. Privacy Protection

The personal data requested from the Affiliate for the execution of this Agreement are used by “Ilvinoelerose.it” only for administrative purposes as well as to fulfill legal obligations. All the Affiliate’s data are processed in compliance with current privacy legislation, pursuant to art. 13 of Legislative Decree n. 196/2003.

12. Modifications and Variations of the Contract

“Ilvinoelerose.it” reserves the right to modify the terms and conditions governing this Affiliate Agreement at any time, promptly notifying the Affiliate via email. Without prejudice to the Affiliate’s right to withdraw within 15 days by written communication, to be sent by e-mail. In case of failure to notify the Affiliate, the changes made are considered accepted.

13. Jurisdiction

This Agreement is governed by Italian law. For any dispute concerning its execution and/or interpretation, the competent court will be exclusively that of Alessandria. The costs will be borne by the Affiliate applying to the forum.

14. Conclusions

The Affiliate is required to comply with this Agreement in all its parts. Any abuse will result in the immediate termination of the commercial collaboration agreement and will be communicated to the competent authorities. The Affiliate declares as truthful and is responsible for all the data entered in the registration form for the Affiliate Program of “Ilvinoelerose.it”. With the registration procedure, the Affiliate expresses his consent to the processing of his personal data, pursuant to art. 13 of Legislative Decree June 30, 2003 n. 196 on privacy, and accept the terms and conditions of
joining the “Ilvinoelerose.it” Affiliate Program contained in this Agreement.

The Affiliate declares to be of age and perfectly aware of the responsibilities that the acceptance of a contract entails and of the possible consequences in case of violation.
Furthermore, the Affiliate declares to consider truthful and accept any type of data processed by the affiliation software of “Ilvinoelerose.it”.
